On April 16, 2025 (local time), American e-cigarette company Charlie's Holdings, Inc. (OTCPK: CHUC) submitted a Form 8-K report to the U.S. Securities and Exchange Commission (SEC).

 

A report shows that British American Tobacco (BAT) subsidiary, RJ Reynolds Vapor Company, has acquired 12 PACHA synthetic e-cigarette products and related assets from Charlie's Holdings. These assets are included in a pre-market tobacco product application (PMTA) that the company first submitted in 2022.

 

The acquisition price was $5 million, paid upon completion of the transaction.

 

In addition, if RJ Reynolds Vapor Company sells any related products within the first year after the commercialization of assets, they will also pay a maximum of $4.2 million in disposable payments.
